VETAPP MEDICAL PANEL SERVICES AGREEMENT
(hereinafter referred to as the "Agreement"), concluded between:

hereinafter referred to as the "Company",

hereinafter referred to as "Vet Doctor".
collectively referred to as the "Parties".
§1
General Provisions
1. The Parties unanimously declare that the Company has presented to the Vet Doctor the model, scope of operation and functionalities related to the Veterinary Application website and service (hereinafter "VetApp"). The Terms and Conditions of the Veterinary Application website and mobile application (hereinafter "Terms and Conditions") are attached as Exhibit 1 to this Agreement. The definitions set forth in the Regulations shall apply to this Agreement.
2. The Company declares that one of the functionalities / options that are available within the Service and the VetApp application is the VetApp Medical Panel, through which the Vet Doctors, including the staff employed by the Vet Doctor and persons acting on behalf of the Vet Doctor (if operating as a legal entity) will be able to use, among other things, the following functionalities offered by the Application and the Service,

hereinafter ("VetApp Medical Panel").
3. The Parties declare that the VetApp Medical Panel may also be used for making settlements between the Parties in case the Vet Doctor decides to cooperate with the Company for providing Videoconsultations, which are described in detail in the Terms and Conditions. In such a situation, the Videoconsultation Cooperation Agreement, attached hereto as Exhibit 2, shall apply.
§2
Obligations of the Parties
1. The Company undertakes to ensure the operation of the Service and the Application, including the VetApp Medical Panel in accordance with the provisions of the Regulations.
2. The Vet Doctor undertakes to use the Service, the Application and the VetApp Medical Panel in the manner provided for in the Terms and Conditions, and moreover to pay to the Company the due remuneration for the use of the VetApp Medical Panel.
§3
Settlement of the parties
1. The remuneration for the use of the VetApp Doctor's Panel depends on the number of posts, not the number of users using the application. The billing model is based on subscriptions per position, with monthly and annual options, and is payable in advance for each month or year (depending on the billing model selected), via bank transfer or automatically charged to the credit card assigned to the account of the respective Vet Doctor.
2. The subscription will be renewed automatically until canceled.
3. During the billing period, it is possible to change the number of positions for which the subscription is purchased. The difference in cost is charged dynamically and proportionally to the remaining billing period. A detailed description of VetApp subscription billing is available in the "Employees and Subscription" section of the Facility Profile.
4. Prices are net prices, i.e. not including VAT.
5. The invoice will be issued by the Company to the Vet Doctor and will be sent automatically to the e-mail address indicated in the Facility Data or available for download in the "Invoices and Transactions" section of the Facility Profile.
§4
Statements
1. The Parties unanimously agree that this Agreement is concluded by the Parties' acceptance of its terms and conditions through the button "I accept the terms and conditions of the Agreement and the provisions of Appendix No. 1 to this Agreement". The Parties unanimously confirm that the Agreement is entered into in documentary form pursuant to Article 77(3) of the Civil Code,
§ 5
Final Provisions
1. This Agreement shall enter into force upon submission of the Vet Doctor's statement of acceptance of the terms and conditions of the Agreement.
2. Any changes to this Agreement shall be made by the Company sending new terms and conditions. If the Vet Doctor does not accept them, he/she should inform the Company by e-mail that he/she does not accept the new terms of the Agreement, which will be tantamount to its termination. Lack of such information will be considered as the Vet Doctor's acceptance of the amended terms of this cooperation agreement.
3. In matters not covered by this Agreement, the relevant provisions of the Civil Code and the Regulations of the Veterinary Application website and mobile application shall apply.
4. Any disputes related to the interpretation and implementation of this Agreement shall be settled by amicable arrangement. In the absence of an amicable settlement of the dispute, the court having jurisdiction over the disputes shall be the court having jurisdiction over the sued party.
5. The Agreement has been prepared in the form of an electronically generated file.
